Terms of Service
The legal agreement establishing your rights and responsibilities when operating on the KforCollab platform.
KforCollab is a software platform facilitating barter partnerships between verified businesses and creators. Collaboration Credits are platform-internal accounting units utilized solely to balance non-monetary value exchange and govern escrow commitments. Credits are NOT fiat currency, legal tender, e-money, or digital assets with guaranteed cash redemption outside the platform.
1. Acceptance of Terms & Eligibility
By accessing or creating an account on https://kforcollab.com (the “Platform”), you (“User”, “you”, or “your”) agree to be legally bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are accepting these Terms on behalf of an incorporated entity, company, or agency, you represent and warrant that you possess full legal authority to bind that entity.
You must be at least eighteen (18) years of age or the age of majority in your jurisdiction to establish an account or initiate collaboration agreements.
2. Account Registration & Multi-Seat RBAC
Users agree to provide true, accurate, and current information during onboarding. You are solely responsible for maintaining the confidentiality of your credentials.
For organizations utilizing multi-seat Team Management features:
- Account Owners maintain primary legal responsibility for all sub-seat actions.
- Financial Escrow Authorization: Only designated Owners and Billing Administrators may authorize the irreversible release or withdrawal of held Collaboration Credits. Collaborator seats are locked from direct financial releases.
- Anti-Sybil Provision: Each corporate domain, trademarked entity, or creator channel may be claimed only once. Creating multiple clone accounts to harvest cold-start liquidity grants constitutes a material breach resulting in immediate termination and forfeiture of credits.
3. Collaboration Marketplace & Barter Agreements
The Platform provides an interactive software workspace wherein businesses and creators propose, negotiate, execute, and verify barter co-marketing deliverables (e.g., newsletter mentions, podcast features, social reviews, co-branded asset kits).
When two parties agree upon a collaboration scope in the Deal Workspace, a bilateral contract is formed solely between those two parties. KforCollab acts as a neutral software venue and escrow custodian; KforCollab is not an employer, agent, joint venturer, or guarantor of deliverable efficacy.
4. Escrow Mechanics, Milestones & Disputes
To eliminate barter default risk, KforCollab enforces smart milestone locks:
- Escrow Commitment: When a collaboration contract is executed, the agreed Collaboration Credits are immediately debited from the buyer’s available balance and held in secure escrow.
- 72-Hour Deliverable Review Window: Upon submission of proof in the Proof Center, the receiving partner has seventy-two (72) hours to inspect the proof. If no revision or dispute is initiated within this window, the deliverable is automatically deemed accepted and credits are released.
- Dispute Resolution Center: Either party may submit an active ticket to the Dispute Center prior to milestone release. Escalated disputes are mediated by KforCollab administrative staff whose rulings are final.
- Double-Blind Reviews: Ratings and qualitative feedback are held in private escrow until both parties submit their review or fourteen (14) days elapse, preventing retaliatory reviews.
5. Third-Party Social Platform API Compliance (Meta & LinkedIn)
When connecting social media profiles or using our automated reach synchronization tools, you explicitly agree to comply with third-party platform terms:
6. Prohibited Conduct
You agree not to engage in any of the following restricted actions:
- Deploying automated scrapers, crawlers, or bots to harvest user directories or contact information.
- Falsifying reach metrics, purchase of artificial follower bots, or misrepresenting audience demographics.
- Uploading malicious code, trojans, or unauthorized scripts.
- Disseminating defamatory, harassing, sexually explicit, or infringing content.
- Attempting to circumvent platform escrow or engaging in fraudulent chargebacks.
7. Intellectual Property Rights
Users retain all ownership rights in brand assets, logos, and creative media uploaded to their media kit or portfolio. By uploading assets, you grant KforCollab a worldwide, non-exclusive, royalty-free license to host, display, and format your assets solely for platform operation and co-marketing partner preview.
The KforCollab name, logos, software codebase, K-Graph algorithms, and UI designs are proprietary property of K For Collab and may not be reproduced without written permission.
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. KFORCOLLAB DOES NOT WARRANT THAT DEALS ARRANGED VIA THE PLATFORM WILL PRODUCE SPECIFIC MARKETING RESULTS, REVENUE, OR AUDIENCE GROWTH.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KFORCOLLAB INC., ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, DELIVERABLE BREACHES BY THIRD-PARTY COLLABORATORS, OR SUSPENSION OF THIRD-PARTY SOCIAL API TOKENS.
10. Dispute Resolution & Governing Law
These Terms are governed by the laws of India. Any dispute arising from these Terms is subject to the exclusive jurisdiction of the courts at Kolkata, West Bengal, India. Nothing in these Terms limits any right you have under the consumer protection laws of the country in which you live.
